Terms and Conditions

These Terms govern access to jhapu.com, Jhapu ERP, Module Builder, subscriptions, AI credits, integrations and related services provided by Swastika Systems. By registering, subscribing or using Jhapu, you agree to these Terms.

1. Service provider

2. Eligibility and authority

You must be at least 18 years old and legally capable of entering into a contract. If you use Jhapu for an organisation, you confirm that you are authorised to accept these Terms for that organisation. The organisation is responsible for its administrators, users and use of the service.

3. Accounts and tenant workspaces

Registration information must be complete and accurate. You are responsible for protecting passwords, tenant codes and administrator access, assigning appropriate permissions and promptly reporting suspected unauthorised use. You must not share an account in a way that bypasses Jhapu's security or user controls.

Each tenant workspace is logically isolated. Provisioning may require email verification, payment confirmation, creation of a tenant database, initial company and administrator setup, and capacity allocation. Jhapu may review or reject registrations that are fraudulent, incomplete, prohibited by law or technically unsafe.

4. Free access

When a Free plan is offered, its storage, feature, inactivity, archival and restoration rules are governed by the Free Usage Policy. A Free workspace has no fixed subscription-expiry date while it remains actively used and follows that policy. An archived Free workspace requires an eligible paid subscription before restoration.

5. Paid plans, prices and taxes

The plan, billing period, price, tax, currency, storage and included capabilities displayed in the confirmed checkout or order summary apply to your purchase. Unless expressly shown otherwise, published prices exclude applicable GST. The checkout summary shows the final tax and payable amount before payment.

Jhapu may change future prices or plan contents. A price change does not alter a completed paid term, but it may apply to the next renewal or a later purchase after reasonable notice. Promotional or individually quoted terms apply only for the period and customer stated in the offer.

6. Payments and digital delivery

Payments may be processed by an authorised third-party payment gateway. Jhapu does not store your complete card, bank-account or UPI credentials. You authorise the gateway and your payment provider to process the amount shown at checkout and to return the payment status and transaction reference needed to complete your order.

Jhapu is delivered electronically; no physical product is shipped. A new paid workspace is normally provisioned after successful email and payment verification. An order is not active merely because a payment attempt was initiated. If payment succeeds but provisioning remains pending, we may hold the order for reconciliation and complete or reverse it after investigation.

7. Renewals, upgrades and expiry

A renewal extends service according to the period shown in its quote. Jhapu will not create an automatic recurring debit unless recurring payment is clearly offered and separately authorised by you. Where recurring payment is enabled, you may stop future renewals without cancelling access already paid for.

A mid-term upgrade is charged using the remaining-term calculation shown in the upgrade quote. The existing subscription end date remains unchanged unless the quote expressly states otherwise. The final payable amount, including tax and rounding, is shown before payment.

If a paid subscription expires without renewal, paid features and write operations may be restricted. Data handling after expiry will follow the applicable plan, retention notice and Privacy Policy.

8. AI credits

AI credits are purchased separately from a Jhapu subscription and can be used only for supported Jhapu AI features. The amount, tax, credited value and order status are shown before or after payment as applicable. AI output may be incomplete or inaccurate and must be reviewed by an authorised user before it is relied upon.

AI-credit usage records may be maintained for wallet, audit and support purposes. Buying AI credits does not activate a paid subscription or restore an archived Free workspace.

9. Customer data and ownership

You retain ownership of the data, documents, images, module definitions and other content you lawfully submit to Jhapu. You grant Swastika Systems the limited permission needed to host, process, back up, transmit and display that content solely to operate, secure and support the service.

You are responsible for having the authority, notices and consents required to process personal data and send email, SMS or WhatsApp communications. Jhapu's software, documentation, branding, templates and platform code remain the property of Swastika Systems or their respective licensors.

10. Generated modules and custom work

Module Builder and AI assistance may generate configurations, forms, reports or code based on customer instructions. Customers must test generated output, permissions, calculations, reports and statutory behavior before production use. Generated output is not professional accounting, tax or legal advice.

Scheduled jobs, complex reports and customer-specific customisation may require a separate support request, technical review, quote and written scope. Such work is not included merely because the base platform contains a related feature.

11. Acceptable use

You must not use Jhapu to:

  • break the law, infringe rights or process data without authority;
  • send spam, malware, fraudulent messages or unlawful communications;
  • probe, bypass or disrupt security, quotas, availability or tenant isolation;
  • upload malicious code or attempt unauthorised access to another account;
  • reverse engineer or copy protected platform code except where law permits; or
  • resell or sublicense Jhapu except under a written agreement.

12. Third-party services

Payment gateways, cloud infrastructure, AI providers, email, SMS, WhatsApp and customer-configured APIs are third-party services. Their availability, approval requirements, fees and terms are controlled by their providers. Jhapu is not responsible for a third-party outage or rejection, but we will take reasonable steps to diagnose issues within our integration.

13. Availability, support and backups

We work to keep Jhapu secure and available, but maintenance, internet failures, provider outages, security events and capacity work may interrupt access. A service-level or response-time commitment applies only when stated in a paid plan or written agreement.

Customers should review reports, maintain appropriate internal controls and export important records when needed. Backup and restoration procedures reduce risk but cannot guarantee that every failure will result in zero data loss.

14. Suspension and termination

Jhapu may restrict or suspend access where reasonably necessary to protect security, prevent abuse, comply with law, address non-payment or investigate a serious breach. Where practical and lawful, we will provide notice and an opportunity to resolve the issue.

You may stop using Jhapu and request account closure. Subscription cancellation, refunds and continued access for an already paid term are subject to the purchase terms, our Refund and Cancellation Policy and applicable law. Closing an account does not remove payment, invoice, tax or audit records that must be retained.

15. Disclaimers and liability

Jhapu is a configurable business-software platform. You remain responsible for business decisions, statutory filings, accounting review, data accuracy and the actions of your users. To the maximum extent permitted by law, the service is provided without warranties that it will be uninterrupted, error-free or suitable for every customer-specific purpose.

Neither party will be liable for indirect, special or consequential loss where such exclusion is permitted by law. Nothing in these Terms excludes liability that cannot legally be excluded, or limits rights available under applicable consumer law.

16. Privacy

The Privacy Policy explains how Jhapu handles personal data. Customer organisations must also provide any privacy notices required for the people whose information they enter into Jhapu.

17. Changes to these Terms

We may update these Terms to reflect service, legal or commercial changes. The revised date will appear above. Material changes may also be announced by email or inside Jhapu. Continued use after the effective date constitutes acceptance where permitted by law; if you do not agree, you must stop using the affected service.

18. Governing law and disputes

These Terms are governed by the laws of India. Courts having jurisdiction in Howrah, West Bengal will have jurisdiction, subject to any mandatory forum or remedy available under applicable law. Before commencing formal proceedings, both parties should attempt in good faith to resolve the matter through the contact details below.
